These Terms of Service ("Terms") govern your access to and use of Zeppo, including our website, dashboard, invoice tools, payment tracking features, and related software services (together, the "Service").
By creating an account, joining the private beta, creating an invoice, receiving payment instructions, or otherwise using Zeppo, you agree to these Terms.
If you do not agree, do not use Zeppo.
1. Who we are
Zeppo is a software platform operated by Zeppo, CVR number 45992284, that provides a user interface for freelancers, contractors, remote workers, and small businesses to create invoices, view payment status, and access supported third-party payment and stablecoin settlement infrastructure.
Zeppo is not a bank, money transmitter, payment institution, e-money institution, crypto exchange, broker, custodian, investment adviser, tax adviser, legal adviser, or accounting firm.
Zeppo does not itself provide banking services, payment accounts, money transmission, custody, exchange, stablecoin issuance, stablecoin redemption, investment services, or local currency cash-out.
Financial infrastructure, payment processing, identity verification, compliance checks, fiat payment receipt, stablecoin conversion, wallet settlement, custody where applicable, and related regulated services are provided by third-party infrastructure partners, including Bridge and/or other approved partners ("Infrastructure Partners").
Your use of any Infrastructure Partner services may be subject to separate terms, privacy policies, onboarding requirements, compliance reviews, country restrictions, transaction limits, and approval decisions.
2. Zeppo as software layer only
Zeppo's role is limited to providing software, user interface, invoice creation tools, dashboard features, payment status display, and related operational support.
Zeppo does not hold customer funds.
Zeppo does not control bank accounts or virtual accounts.
Zeppo does not custody digital assets.
Zeppo does not execute stablecoin purchases, sales, redemptions, or transfers as principal.
Zeppo does not guarantee access to any payment rail, account, wallet, stablecoin, blockchain, country, or settlement method.
Any payment instructions, accounts, conversions, transfers, stablecoin settlement, compliance checks, and related regulated services are provided by Infrastructure Partners and not by Zeppo.
3. Bridge and third-party infrastructure
Where Bridge is used, Bridge and/or its affiliates, financial partners, or service providers may be responsible for identity verification, compliance checks, user approval, payment processing, payment accounts, stablecoin conversion, custody where applicable, transaction monitoring, transaction records, and stablecoin settlement.
Zeppo does not make final approval decisions for Bridge services.
Zeppo does not guarantee that Bridge or any other Infrastructure Partner will approve you, approve your country, approve your use case, approve your client, approve your payment, approve your wallet, support your preferred stablecoin, or process your transaction.
Bridge and other Infrastructure Partners may reject, delay, hold, return, reverse, freeze, block, suspend, or review transactions for compliance, sanctions, fraud, risk, operational, banking, blockchain, or legal reasons.
Zeppo is not responsible for any decision, delay, restriction, fee, outage, rejection, reversal, hold, suspension, or compliance action taken by Bridge or any other Infrastructure Partner.
4. Private beta
Zeppo is currently offered as a private beta.
This means the Service may change, be limited, become unavailable, or be discontinued at any time.
We may approve, reject, suspend, remove, or restrict users from the beta at our discretion, including for legal, compliance, risk, operational, partner, or business reasons.
Joining the beta does not guarantee that you will be able to receive payments, access payment instructions, use a virtual account, receive stablecoin settlement, use USDC, use USDT, or use the Service in your country.
Availability depends on verification, supported countries, supported payment rails, supported stablecoins, supported blockchains, partner approval, compliance review, and applicable law.
5. Eligibility
You may use Zeppo only if:
You are at least 18 years old.
You are using Zeppo for legitimate business, freelance, contractor, or professional services.
You are not located in, resident in, organized in, or acting on behalf of a person or entity located in a prohibited or sanctioned jurisdiction.
You are not subject to sanctions or other legal restrictions.
You are legally allowed to use the Service and any related stablecoin, wallet, payment, or invoice flow in your country.
You provide accurate, complete, and up-to-date information during onboarding, verification, and payment review.
You comply with all applicable laws, regulations, tax obligations, reporting obligations, and partner terms.
We may request additional information from you at any time, including identity information, business information, invoices, contracts, proof of services, source-of-funds information, wallet ownership information, client information, or other documentation required for compliance, risk, legal, or partner review.
6. Verification and compliance checks
Zeppo is not anonymous money movement.
Before using some or all parts of the Service, you may be required to complete identity verification, business verification, sanctions screening, anti-money laundering checks, fraud review, invoice review, wallet screening, and other compliance checks.
Verification and compliance checks may be performed by Zeppo, Bridge, other Infrastructure Partners, or third-party verification providers.
You agree that your information may be shared with Infrastructure Partners and verification providers for onboarding, compliance, fraud prevention, sanctions screening, payment processing, stablecoin settlement, risk monitoring, and legal compliance.
A completed KYC or KYB process does not guarantee that a payment, wallet, country, client, invoice, stablecoin, blockchain, or use case will be approved.
7. Legitimate invoice payments only
Zeppo may only be used for real invoice payments connected to legitimate goods or services.
You may not use Zeppo for:
Anonymous payments.
Fake invoices.
Personal remittances unrelated to real goods or services.
Payments on behalf of third parties unless expressly approved.
Tax evasion.
Money laundering.
Fraud.
Scams.
Sanctions evasion.
Illegal financial services.
Unlicensed exchange activity.
P2P exchange activity.
Payments for prohibited goods or services.
Payments involving sanctioned persons, entities, or jurisdictions.
Payments intended to hide the true payer, recipient, source of funds, ownership, or transaction purpose.
We may require evidence that an invoice is real, including contracts, work descriptions, proof of service, client communications, or other supporting documents.
8. How Zeppo works
Zeppo may allow you to create an invoice in a supported currency, such as USD or EUR.
Your client may receive payment instructions and pay using a supported bank transfer method.
After the payment is received by the relevant Infrastructure Partner, reviewed, and approved, settlement may be sent to you in a supported stablecoin, such as USDC or USDT, depending on availability, country support, partner support, blockchain support, and compliance approval.
Settlement timing is not guaranteed. Any estimated timing, including same-day, next-day, or 24-hour settlement, is only an estimate and may depend on sender bank processing, payment rails, intermediary banks, compliance checks, Infrastructure Partner processing, blockchain conditions, network fees, and other factors outside Zeppo's control.
9. Payment instructions
Payment instructions are provided only for approved users and approved use cases.
You must not use payment instructions for unauthorized purposes.
You must not use payment instructions to receive payments for someone else unless expressly approved.
You must not use Zeppo as an intermediary, pass-through account, pooled account, exchange account, remittance service, or money movement service for third parties unless expressly approved in writing.
If a payment is sent incorrectly, from an unsupported sender, through an unsupported rail, with incorrect reference information, or for an unsupported or prohibited purpose, the payment may be delayed, rejected, returned, reversed, or subject to additional review.
10. Stablecoin settlement
Stablecoins are digital assets. They are not bank deposits and may not have the same protections as money held in a regulated bank account.
Stablecoins may carry risks, including issuer risk, liquidity risk, regulatory risk, blockchain risk, wallet risk, smart contract risk, network congestion, mistaken transfer risk, depegging risk, and loss of access risk.
You are responsible for providing a correct wallet address on a supported blockchain.
If you provide the wrong wallet address, wrong network, unsupported wallet, unsupported blockchain, or incorrect settlement information, your funds may be permanently lost. Zeppo may not be able to recover them.
You are responsible for securing your wallet, private keys, seed phrases, devices, accounts, and authentication methods.
Zeppo does not guarantee that any stablecoin will maintain its value, be redeemable, be supported forever, or be available in your country.
11. No local cash-out guarantee
Zeppo does not guarantee that you can convert stablecoins into your local currency.
Zeppo does not provide local cash-out, peer-to-peer exchange, local currency exchange, or local bank withdrawal unless expressly offered through approved Infrastructure Partners in your country.
You are responsible for understanding whether receiving, holding, transferring, converting, selling, or using stablecoins is legal in your country.
12. Fees
Zeppo may charge fees for paid invoices, software access, payment tracking, stablecoin settlement, or related services.
Fees may also be charged by banks, payment rails, Infrastructure Partners, blockchain networks, wallet providers, intermediary banks, currency conversion providers, or other third parties.
We will aim to show applicable Zeppo fees before you use the Service. However, third-party fees may be outside Zeppo's control and may not be known in advance.
Fees may change over time.
13. Taxes and records
You are responsible for your own taxes, accounting, invoices, bookkeeping, reporting, and legal compliance.
Zeppo does not provide tax, legal, accounting, financial, or investment advice.
You are responsible for determining how your invoices, income, stablecoin receipts, conversions, gains, losses, and transactions should be reported in your country.
Any transaction records shown in Zeppo are provided for convenience only and may not be sufficient for your tax, legal, or accounting obligations.
14. Client payments and disputes
Your client does not need to use crypto to pay a Zeppo invoice.
However, your client must pay using supported payment instructions and supported payment rails.
You are solely responsible for your relationship with your client, including the services provided, invoice details, disputes, refunds, cancellations, non-payment, recalls, chargebacks, and any disagreement about the underlying goods or services.
Zeppo is not a party to your contract with your client.
15. Refunds, reversals, and recalls
Payments may be subject to rejection, return, reversal, recall, chargeback, compliance hold, or bank investigation.
If a payment is reversed, recalled, disputed, unauthorized, fraudulent, or prohibited, you may be required to return funds or stablecoins, even if settlement has already occurred.
Zeppo and/or Infrastructure Partners may debit, offset, suspend, restrict, or recover funds where permitted by law, partner rules, or these Terms.
16. Prohibited activities
You may not use Zeppo for illegal, fraudulent, deceptive, abusive, or high-risk activity.
This includes, but is not limited to:
Money laundering.
Terrorist financing.
Sanctions evasion.
Fraudulent invoices.
Fake clients.
Impersonation.
Scams.
Ponzi schemes.
Gambling where prohibited.
Illegal drugs.
Weapons.
Stolen goods.
Human trafficking.
Sexual exploitation.
Illegal financial services.
Unlicensed exchange activity.
Market manipulation.
Tax evasion.
Payments intended to hide ownership, source of funds, or transaction purpose.
17. Account suspension and termination
We may suspend, restrict, or terminate your access to Zeppo at any time if:
You violate these Terms.
You provide false or incomplete information.
You fail verification.
You use Zeppo for a prohibited activity.
A payment is flagged by compliance, fraud, sanctions, or risk systems.
An Infrastructure Partner requires suspension, restriction, or termination.
Your country, use case, payment rail, stablecoin, blockchain, wallet, or client becomes unsupported.
We believe continued access creates legal, regulatory, financial, reputational, security, operational, or partner risk.
We are not required to disclose the full reason for suspension if doing so would violate law, partner policy, security practices, or risk controls.
18. Third-party partner responsibility
Zeppo relies on Infrastructure Partners for financial infrastructure, payment processing, banking rails, stablecoin conversion, custody where applicable, digital asset settlement, identity verification, sanctions screening, fraud monitoring, compliance review, and related services.
Zeppo is not responsible for delays, errors, outages, losses, fees, failed transactions, blocked transactions, rejected users, suspended accounts, compliance decisions, wallet restrictions, blockchain failures, bank actions, or policy changes caused by Infrastructure Partners, banks, blockchains, wallet providers, payment networks, or other third parties.
You acknowledge that Zeppo may not be able to reverse, cancel, speed up, recover, or modify actions taken by Infrastructure Partners, banks, blockchains, wallet providers, or payment networks.
19. No financial service provider relationship
Your use of Zeppo does not create a bank account, payment account, custodial account, brokerage account, investment account, or financial account with Zeppo.
Any regulated financial service, if available, is provided by Infrastructure Partners and not by Zeppo.
Zeppo does not provide personalized financial recommendations.
Zeppo does not advise you to receive, hold, sell, buy, transfer, convert, or invest in any stablecoin or digital asset.
20. No warranty
Zeppo is provided on an "as is" and "as available" basis.
We do not guarantee that the Service will be uninterrupted, error-free, secure, available in your country, available for your use case, or compatible with every bank, wallet, blockchain, client, payment rail, stablecoin, or Infrastructure Partner.
We do not guarantee settlement time, exchange rate, fee amount, stablecoin availability, payment success, partner approval, or uninterrupted access.
21. Limitation of liability
To the maximum extent permitted by law, Zeppo and its owners, employees, contractors, affiliates, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill, loss of digital assets, or losses caused by delays, blocked payments, failed verification, incorrect wallet addresses, unsupported networks, bank recalls, compliance holds, partner outages, blockchain issues, regulatory restrictions, or third-party actions.
To the maximum extent permitted by law, Zeppo's total liability for any claim related to the Service will not exceed the fees paid by you to Zeppo in the three months before the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
22. Indemnity
You agree to defend, indemnify, and hold harmless Zeppo, its owners, employees, contractors, affiliates, and partners from any claim, loss, liability, damage, cost, or expense arising from:
Your use of the Service.
Your violation of these Terms.
Your violation of applicable law.
Your invoices, clients, goods, or services.
Your tax, accounting, or reporting obligations.
Your wallet address or wallet security.
Your misuse of payment instructions.
Any fraud, misrepresentation, prohibited activity, or unauthorized transaction connected to your account.
Your use of Bridge or any other Infrastructure Partner service.
23. Privacy
Your use of Zeppo is also subject to our Privacy Policy.
We may collect and share information with Bridge, other Infrastructure Partners, verification providers, compliance providers, banks, payment networks, blockchain analytics providers, regulators, law enforcement, and other parties where necessary to provide the Service, comply with law, prevent fraud, manage risk, or enforce these Terms.
24. Changes to these Terms
We may update these Terms from time to time.
If we make material changes, we may notify you through the website, dashboard, email, or another reasonable method.
If we update these Terms after you have accepted them, you must review and accept, or otherwise comply with, the updated Terms before continuing to use parts of the Service where we require renewed acceptance. Your continued use of Zeppo after changes become effective means you accept the updated Terms.
25. Governing law
These Terms are governed by the laws of Denmark, unless another jurisdiction is required by applicable consumer protection, financial services, or mandatory local law.
Any dispute will be handled by the competent courts of Denmark, unless applicable law requires otherwise.

27. Important notice
Zeppo is intended for legitimate business and freelance invoice payments only.
Zeppo does not help users avoid taxes, hide income, bypass sanctions, launder money, or move funds anonymously.
Do not use Zeppo if you are not legally allowed to receive, hold, transfer, convert, or use stablecoins in your country.
